Float

Float is the number of shares of a company's stock that are available for public trading in the open market, calculated by subtracting insider holdings, restricted shares, and closely-held shares from total shares outstanding.

Float is among the most operationally critical metrics for active equity traders — more so, in many respects, than headline metrics like market capitalisation or earnings per share. It answers a deceptively simple question: of all the shares a company has issued, how many are actually available for trading in the open market at any given moment? The answer to that question determines a stock's liquidity profile, its susceptibility to volatile price swings, its potential for short squeeze events, and the practical mechanics of entering and exiting positions without excessive market impact.

The calculation begins with total shares outstanding — the aggregate number of shares a company has issued, including all classes of stock. From this figure, several categories of shares are subtracted to arrive at the float. Insider holdings — shares held by company executives, directors, and employees subject to lockup or reporting requirements — are excluded because they are not available for immediate sale in the open market. Restricted shares — stock issued as compensation but subject to vesting schedules — are excluded. Shares held by controlling shareholders who have disclosed their intention to hold long-term are typically excluded. What remains is the free float: the subset of outstanding shares that can change hands freely in the market on any given trading day.

Low-float stocks — typically defined as those with fewer than 10-20 million freely tradeable shares — exhibit fundamentally different trading characteristics from high-float stocks with hundreds of millions or billions of shares available. With a limited supply of shares available for trading, any meaningful increase in demand — whether from retail traders, institutions, or short sellers covering positions — must be absorbed by a relatively small number of shares. The result is disproportionate price volatility: the same dollar amount of buying pressure that moves a high-float large-cap by 0.5% might move a low-float small-cap by 5-15% or more. This volatility amplification makes low-float stocks both more hazardous and more potentially rewarding for short-term traders.

The relationship between float and short squeeze risk is direct and well-documented. When short interest as a percentage of float is high — say, above 20-30% — a meaningful portion of the available supply of shares has been sold short. If buying pressure emerges and short sellers attempt to cover simultaneously, they are all competing to purchase shares from a float that is already partially absorbed by their own short positions. The resulting demand-supply imbalance drives prices upward with exceptional velocity. This is precisely the dynamic that made the GameStop short squeeze of January 2021 possible: GME's short interest briefly exceeded 100% of its float, creating an unstable configuration in which the covering demand theoretically exceeded the available share supply at any price.

For pre-market gap traders — those who target stocks exhibiting large overnight price gaps due to earnings, news, or catalyst events — float is an immediate screen. A stock with a 2 million float gapping up 30% pre-market will behave very differently from a stock with 500 million float in the same scenario. The low-float stock will experience dramatically wider bid-ask spreads, more erratic price action, and greater vulnerability to quick reversals when early buyers take profits. The high-float stock, with deep liquidity, will typically exhibit more orderly price discovery. Float can change over time through several mechanisms. Secondary offerings — when a company issues new shares — increase float and are typically dilutive to existing shareholders. Insider selling — when executives or directors sell their restricted shares after lockup expiration — increases float. Share buyback programmes reduce shares outstanding and can reduce float. The expiration of lockup periods following IPOs is a particularly significant float-expanding event: a stock that debuted with only 20% of shares in the float may see its float double or triple when the 180-day lockup expires, dramatically changing its liquidity and price dynamics. Institutional ownership interacts with float in instructive ways. When institutional investors — mutual funds, hedge funds, pension funds — accumulate large positions in a small-float stock, they can effectively reduce the tradeable float below its stated level, since large institutional holders rarely sell their positions in the open market continuously. A stock with a stated float of 10 million shares but with 7 million held by three institutional investors has an effective tradeable float closer to 3 million — a distinction that matters enormously for traders attempting to assess real-time liquidity. Float-adjusted market capitalisation — which weights market cap by float percentage — is the basis for most major stock indices including the S&P 500 and the Russell indices. Index funds and ETFs that track float-adjusted indices must hold shares proportional to float-adjusted weights, creating systematic buying and selling pressure at rebalancing dates. When a stock is added to the S&P 500, the subsequent purchases by index fund managers who must replicate the index can be precisely estimated from the stock's float-adjusted weight, providing a transparent and predictable source of demand that traders can anticipate. Most scanners used by active traders include float as a filter parameter — enabling precise targeting of low-float runners in pre-market, high-short-interest squeeze candidates, or high-float value stocks with deep liquidity appropriate for larger position sizes.
